Data Processing Agreement (DPA)

This Agreement forms part of the Master Terms & Conditions between RUSD LTD (“Processor”) and the Client (“Controller”).

1. ROLES OF THE PARTIES

  • The Client acts as the Data Controller.
  • RUSD LTD acts as the Data Processor.

2. SCOPE & PURPOSE OF PROCESSING

RUSD LTD processes personal data solely for providing high-performance hosting, web design, SEO, email infrastructure, and digital services. This includes:

  • Hosting and secure storage of website data and user-uploaded assets.
  • Provision of business email systems and communication logs.
  • Technical identifiers (IP addresses, traffic logs) for security and optimization.

3. PROCESSOR OBLIGATIONS

  • Process data only on documented instructions from the Controller.
  • Ensure absolute confidentiality of all personnel authorized to handle data.
  • Implement industry-standard technical security (Encryption, Access Controls).

4. SUB-PROCESSORS

The Controller provides general written authorization for RUSD LTD to engage the following categories of sub-processors:

  • Cloud Infrastructure: Google Cloud, Amazon Web Services, or specialized UK-based hosting nodes.
  • Registrars: Domain registration and DNS management providers.
  • Communication: Business email systems and support ticketing platforms.

5. DATA BREACH NOTIFICATION

🔴 Urgency: RUSD LTD will notify the Controller without undue delay (and in any event within 72 hours) upon becoming aware of any confirmed personal data breach affecting Client data, providing all necessary info required for the Controller’s ICO notification.

6. INTERNATIONAL TRANSFERS

Where data is transferred outside the UK (e.g., via global CDN or US-based SaaS platforms like Meta/Google), RUSD LTD ensures appropriate safeguards, such as Standard Contractual Clauses (SCCs), are in place.

7. DATA RETURN & TERMINATION

Upon termination, data will be deleted or returned per our Terms. The Client remains responsible for securing independent backups prior to service termination.

8. LIABILITY & GOVERNING LAW

Liability under this Agreement is subject to the limitation of liability clauses set out in the main RUSD LTD Terms & Conditions. This Agreement is governed by the Laws of England and Wales.
