Confidentiality Disclosure Agreement (NDA)

 

This Confidentiality Disclosure Agreement (“Agreement”) is entered into on March 31, 2026 (the “Effective Date”) between RUSD LTD, a company registered in the United Kingdom, and the Client (each a “Party” and together the “Parties”).

The Parties intend to engage in business discussions, project development, and service delivery, during which sensitive information will be exchanged. The purpose of this Agreement is to ensure the absolute protection of such information.

1. SCOPE OF CONFIDENTIAL INFORMATION

“Confidential Information” refers to any data disclosed by one Party to the other that is identified as confidential or would reasonably be considered sensitive. 🔴 This specifically includes, but is not limited to:

  • Access Credentials: Login details for hosting, CMS, Google Search Console, Maps, and social media accounts.
  • Client Data: Customer lists, lead data, and proprietary business processes provided by the Client.
  • Agency Intellectual Property: RUSD LTD’s specific SEO strategies, custom code structures, and technical workflows.
  • Financial Info: Project pricing, billing structures, and sensitive business strategies.

2. OBLIGATIONS OF THE RECEIVING PARTY

The Receiving Party agrees to:

  • Use Confidential Information solely for the performance of agreed services (Web Design, SEO, Hosting).
  • Maintain the highest level of security for all credentials and data assets.
  • Not disclose Confidential Information to any third party without prior written consent, except to authorized sub-processors bound by similar confidentiality terms.

3. EXCLUSIONS & PERMITTED DISCLOSURE

Confidentiality does not apply to information that is already public, lawfully in possession before disclosure, or independently developed. Disclosure is permitted if required by UK Law or court order, provided the Disclosing Party is notified immediately.

4. RETURN OR DESTRUCTION

Upon termination of services, the Receiving Party shall, at the Disclosing Party’s request, securely destroy or return all Confidential Information, excluding data required to be retained for UK tax or legal compliance.

5. TERM & GOVERNING LAW

This Agreement remains in effect for the duration of the business relationship. Confidentiality obligations regarding trade secrets and credentials shall continue for 3 years post-termination. This Agreement is governed by the Laws of England and Wales.
