1. Business Customer Status
RUSD's standard services are designed primarily for customers purchasing in the course of a trade, business, craft, or profession. Customers may include limited companies, LLPs, sole traders, self-employed contractors, partnerships, and other commercial entities.
Whether an individual is acting as a consumer or for business purposes depends on the actual circumstances of the particular contract and applicable law. A sole trader or self-employed person may have consumer status for a transaction that is wholly or mainly outside their business activity.
Customers should explain the intended business purpose when ordering and notify RUSD before placing an order if the services are mainly for personal, domestic, or household use, so the parties can clarify whether RUSD can accept the engagement and which terms apply.
Nothing in these Terms, a customer declaration, or RUSD's business-to-business service model excludes or restricts mandatory consumer rights or other liabilities that cannot lawfully be excluded.
2. Terms & Conditions
These Terms govern all service provision by RUSD LTD ("RUSD", "we", "us", "our") to the commercial customer ("Customer", "you", "your").
Where a bespoke signed contract or Statement of Work conflicts with these general Terms, the bespoke agreement takes precedence to the extent of that specific conflict.
Nothing in these Terms excludes or limits statutory rights or liabilities that cannot lawfully be restricted under the laws of England and Wales.
3. Contract Formation & Documents
A binding contract is formed when RUSD accepts an order, issues written confirmation, accepts a quotation deposit, begins work upon the Customer's instruction, or completes online checkout.
The order of precedence across contractual documents is:
- Signed bespoke agreement or Statement of Work;
- Accepted quotation or proposal;
- Order confirmation or service schedule;
- These Terms and integrated legal policies; and
- Standard supporting or onboarding documentation.
4. Services & Customer Responsibilities
4.1 Service delivery
RUSD will execute agreed services with reasonable skill and care in accordance with the accepted project quotation, plan, or specification. Unless an express Service Level Agreement (SLA) is signed, all standard services are delivered on a reasonable-efforts basis.
4.2 Customer cooperation
The Customer must supply accurate text, images, brand assets, credentials, hosting access, and timely approvals necessary for service delivery. RUSD is not liable for project delays, errors, or additional expenses resulting from inaccurate submissions, missing content, or overdue approvals.
4.3 Customer delays and dormant projects
RUSD is not responsible for delivery delays caused by client inactivity or failure to cooperate.
If an active project is delayed for more than 30 consecutive calendar days due to missing customer content, feedback, credentials, or sign-offs, RUSD reserves the right to declare the project dormant.
Upon a project becoming dormant, RUSD may:
- Immediately invoice for all completed milestone or time-based work undertaken to date;
- Require full payment of all outstanding accounts prior to resuming work;
- Release developer and design scheduling slots to other client queues; and
- Apply a reasonable restart fee to cover the administrative, environment, and technical overhead of resynchronising the dormant project into the active schedule.
4.4 Commercial results
Unless explicitly guaranteed in a separate signed agreement, RUSD provides no warranty regarding specific commercial outcomes, including sales volumes, leads, conversions, revenue gains, or ad spend return.
5. Quotes, Estimates & Scope
5.1 Validity
Quotations are valid for 30 calendar days from the date of issue unless an alternative expiry is stated. Estimates are good-faith approximations and are non-binding unless explicitly marked as a fixed contractual quotation.
5.2 Scope changes and design revisions
Standard website design packages include up to two (2) consolidated rounds of reasonable design revisions prior to final client sign-off.
A revision round is defined as a single compiled list of design and layout adjustments submitted at an agreed project stage. It does not include:
- Completely new creative directions or design concepts;
- Reopening previously approved sections or wireframes;
- New functional requirements, page templates, or plugin integrations; or
- Significant restructuring of site architecture.
Revisions requested outside these two rounds, or amendments exceeding the original scope, will be quoted and billed at RUSD's standard hourly or milestone rates.
6. Payments & Invoicing
Invoices must be settled by the date specified on the invoice. RUSD may require upfront deposits, stage payments, or automated recurring billing depending on the package.
Where invoices remain unpaid past the due date, RUSD reserves the right under English commercial law to:
- Suspend all active work, development, hosting, and support;
- Claim statutory compensation and interest under the Late Payment of Commercial Debts (Interest) Act 1998; and
- Pass outstanding accounts to third-party recovery agents, with recovery costs chargeable to the Customer.
7. Recurring Services & Subscriptions
7.1 Billing cycle and renewal
Recurring plans (including the Essential Care, Growth Care, and Ultimate Care plans, as well as recurring bolt-ons such as WordPress Security Updates, Google Ads Manager, and Facebook Ads Management) are billed in advance on a rolling monthly or annual basis via Stripe.
Subscriptions renew automatically at the conclusion of each billing period unless cancelled by the Customer in accordance with clause 7.2.
7.2 Cancellation terms (no lock-in contracts)
Unless a minimum commitment term is expressly specified in an individual Statement of Work, our standard monthly care packages operate on a rolling monthly basis with no long-term contract lock-ins.
The Customer may cancel a monthly subscription at any time by giving written notice via email to support@rusd.uk or directly via WhatsApp to Russ. Cancellation normally takes effect at the end of the current paid billing period. Unused days are not ordinarily refunded except where required by law or agreed in writing. Annual subscriptions continue to the end of the prepaid term unless the order or applicable law provides otherwise; cancellation stops the next renewal when received before the renewal is processed. RUSD will confirm the effective cancellation date on request. Any mandatory statutory refund or cancellation rights remain unaffected.
7.3 Effect of cancellation
Upon the effective date of cancellation of a hosting or care plan:
- Active website hosting, server resources, automated off-site backups, and security monitoring will terminate;
- Any included domain renewal support terminates, and domain management must be transferred (see clause 8.3); and
- Access to included content update allowances and priority support immediately ceases.
8. Domain Names & Annual Renewals
8.1 Domain registration and control
Where RUSD registers a domain through its nominated registrar account as part of a setup package, RUSD may administer the registration during the included initial registration period. Before ordering, the Customer should be told the registration term, any included period, and the renewal price. Domain registration and registrant rights are governed by the applicable registry and registrar rules; this clause does not transfer a domain to RUSD where the Customer is the registered holder.
At the end of any included first-year period, the Customer may renew or request transfer of the domain to an account under their control, subject to registry rules and payment of any disclosed renewal or outstanding charges. RUSD will provide reasonable transfer assistance and will not unreasonably obstruct a lawful transfer. Customers should keep registrant contact details accurate and monitor renewal notices.
8.2 Included annual domain renewals
Where an active website package or monthly care plan (Essential Care, Growth Care, or Ultimate Care) states that annual domain renewal is included:
- The inclusion covers standard registry renewal fees for eligible .co.uk and .com top-level domain extensions only;
- Speciality, premium, or non-standard top-level domains (e.g. .io, .agency, .tech) are excluded and will be invoiced at the prevailing registry cost;
- The domain must be actively hosted with RUSD and registered through RUSD's nominated registrar account; and
- Renewals are processed provided that the Customer's monthly subscription account is paid up to date and in good standing at the time of renewal.
8.3 Domain transfers upon cancellation
If a care plan is cancelled, the Customer is responsible for transferring the domain name to their own independent registrar account prior to the domain's expiration date. RUSD will provide the transfer authorization code (EPP/auth code) or change the Nominet IPS tag without charge, provided the applicable domain-transfer requirements and any lawful, properly due charges directly relating to the domain transfer have been met. RUSD will not treat cancellation of a care plan alone as a transfer of domain ownership or as forfeiture of the Customer's registrant rights. Where a dispute concerns unrelated charges, RUSD will assess the transfer request in accordance with the applicable registry rules and law. RUSD accepts no liability for domain expiration where a customer fails to complete a transfer following cancellation.
9. Hosting, Website Care & Content Updates
9.1 Hosting environment and NVMe storage limits
Website care packages include high-speed UK NVMe storage allocations as advertised:
- Essential Care: Up to 2 GB NVMe storage;
- Growth Care: the storage allowance stated on the current package page and accepted order confirmation; and
- Ultimate Care: the storage allowance stated on the current package page and accepted order confirmation.
The specific allowance applicable to an order is the allowance stated in the accepted order confirmation. If the package page and order confirmation conflict, the accepted order confirmation controls only where the applicable allowance was made clear before the order was placed. Storage usage includes website files, databases, and emails hosted on the server. If storage exceeds the allocated quota, RUSD reserves the right to notify the client to clean up unnecessary files or upgrade to an appropriate tier.
9.2 Basic Website Updates and fair-use policy
Where a care plan or bolt-on includes "Basic Website Updates" or monthly content edits:
- Permitted scope: Updates include minor text adjustments, adding or swapping client-provided images, updating telephone numbers, staff changes, opening hour modifications, and adding minor pricing/product adjustments to existing pages.
- Excluded scope: The allowance does not include structural redesigns, custom plugin development, creating entirely new page templates or ecommerce checkout workflows, database migrations, or third-party CRM integrations. Such work will be quoted separately.
- Fair-use standard: Routine updates are handled on a reasonable-efforts basis via WhatsApp or email. Requests should be submitted with clear instructions. Turnaround is typically 24β48 working hours, with priority handling extended to Ultimate Care subscribers.
9.3 WordPress core and plugin security updates
Managed updates across the WordPress core, active themes, and plugins are applied on scheduled intervals. RUSD takes commercial care to test compatibility prior to deployment; however, RUSD is not liable for breaking changes introduced by third-party plugin developers.
10. Intellectual Property
RUSD retains all intellectual property rights in its pre-existing code, frameworks, custom boilerplates, tools, and design libraries.
Upon full payment of all relevant invoices, the Customer retains ownership of their business content and receives the rights and licences to use the bespoke website deliverables for their intended business purpose.
Third-party code, open-source modules, and commercial plugins remain governed by their respective licenses. RUSD reserves the right to showcase non-confidential project completions within its portfolio.
11. Customer Content & Licences
The Customer retains full ownership of text, logos, photography, and materials provided. The Customer grants RUSD a worldwide licence to host, process, and adjust these assets as required to fulfill the contract.
The Customer warrants that supplied materials do not infringe third-party copyright, trade marks, or other intellectual property, and indemnifies RUSD against claims arising from materials provided under customer instructions.
12. Acceptable Use Policy
RUSD infrastructure, hosting, and domains must never be used for unlawful or abusive purposes, including:
- Fraudulent operations or phishing systems;
- Hosting or distributing malware, trojans, or ransomware;
- Unauthorised port scanning or network penetration;
- Unsolicited bulk email (SPAM);
- Hosting illegal or copyright-infringing content; and
- Any activity that risks server IP address blacklisting or reputation damage.
13. Security & Abuse
RUSD regularly monitors server environments and may isolate websites compromised by malware, brute-force activity, or outdated third-party scripts. Where feasible, RUSD will alert the client and offer remediation services.
14. Suspension & Termination
14.1 General suspension
RUSD may suspend services immediately due to overdue invoices, material breach, security breaches, or regulatory demands.
14.2 Hosting suspension and data retention
Where web hosting is suspended due to unpaid invoices, RUSD will retain customer site files, databases, and mailboxes for a maximum of 30 consecutive calendar days following suspension.
If the account remains unpaid upon the expiry of this 30-day grace period, RUSD may permanently decommission the hosting container and permanently purge all associated server data and local backups. Before permanent deletion, RUSD will use the customer's available account contact details to issue a final notice identifying the planned deletion date and any available export route. Customers should promptly export their files, databases and mailboxes and maintain independent backups. Deletion may be delayed where required by law, a legal hold, or a documented dispute. Backup copies may remain in encrypted or restricted disaster-recovery systems until overwritten under the normal backup rotation, and will not be restored except for legitimate recovery or legal purposes. Nothing in this clause excludes liability that cannot lawfully be excluded, or removes any separate data-protection obligation that applies to RUSD.
14.3 Termination
Either party may terminate an agreement upon written notice if the other party commits an unremedied material breach within 14 days of written warning. Termination does not extinguish the obligation to pay for services delivered up to the effective termination date.
15. Confidentiality
Both parties agree to protect proprietary data and trade secrets disclosed during the engagement, excluding information already public, independently developed, or required to be released by court order.
16. Third-Party Platforms, Maps & Social Listings
16.1 Platform eligibility and verification
Setup services for Google Business Profiles, Bing Places for Business, and Meta (Facebook) business pages are dependent entirely upon third-party platform approval, local verification guidelines, and customer eligibility.
RUSD configures and optimizes profiles to current platform specifications; however, RUSD does not control and cannot guarantee verification approvals, postcard delivery, pin placement, or algorithmic visibility enforced independently by Google, Microsoft, or Meta.
16.2 Backup administrator access
Where RUSD assists with creating, optimizing, or managing Google Business Profiles or Facebook business pages, the Customer grants RUSD permission to maintain authorized secondary administrator or business partner access.
This secondary access is maintained strictly for recovery, security, and ongoing technical support purposes. The Customer remains the primary listing owner and may request removal of RUSD's secondary administrator access at any time in writing.
16.3 Setup deliverables vs. ongoing marketing campaigns
The SEO setups, area landing page creations, business directory submissions, and platform profiles bundled into the Growth Care and Ultimate Care plans are initial setup deliverables. Ongoing monthly link-building, proactive digital PR, or continuous off-page outreach campaigns are not included unless separately agreed in writing or ordered via a designated recurring advertising package.
17. Backups & Data Responsibility
Managed hosting packages include daily automated off-site backups with free restoration assistance in the event of hardware failure, update conflicts, or malicious breach.
While RUSD maintains automated disaster-recovery snapshots, automated snapshots do not replace independent client record-keeping. The Customer remains solely responsible for exporting and preserving critical operational records, databases, customer invoices, and financial data.
18. Liability & Service Disclaimers
18.1 Non-excludable liability
Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or liabilities that cannot be restricted under applicable law.
18.2 Consequential loss exclusion
To the maximum extent permitted by law, RUSD is not liable for indirect loss, lost profits, revenue depletion, loss of contracts, business downtime, or reputational damage. This exclusion applies only to the extent permitted by applicable law and is subject to the non-excludable liabilities and any express service commitments in the accepted contract.
18.3 Financial liability cap
Subject to the non-excludable liabilities stated above and any liability that cannot lawfully be limited, RUSD's total aggregate liability arising out of or related to a contract is capped at 100% of the total fees actually paid by the Customer to RUSD under that specific contract in the 12 months preceding the incident.
18.4 Search engine optimization (SEO)
Search ranking algorithms are controlled independently by external search engines. RUSD implements structured metadata, keyword optimization, and technical schema in good faith according to industry best practices, but makes no guarantee of specific search placements, page-one positions, organic traffic increases, or caller enquiry volumes.
18.5 Monitoring response
"Automated uptime and security alert monitoring" refers to automated server-level checks and alert notifications. "Priority handling" on the Ultimate Care plan denotes priority review and escalation by Russ during working hours. RUSD does not operate a 24/7 staffed emergency room response unless specifically contracted under an enterprise SLA.
19. Privacy Policy
RUSD LTD processes personal information to respond to enquiries, provide contracted services, manage accounts and payments, maintain website security, and meet legal obligations. The information may include contact details, business details, account records, support messages, and technical logs.
RUSD acts as a controller for personal data it uses for its own business administration. Where RUSD hosts or accesses personal data on a customer's behalf, its role and obligations depend on the service and the parties' documented arrangements.
RUSD selects a lawful basis for each processing purpose and records it in its internal processing records. Depending on the purpose, the basis may be performance of a contract or steps requested before a contract, compliance with a legal obligation, legitimate interests where those interests are not overridden by individual rights, or consent where consent is the appropriate basis. RUSD does not rely on consent where another lawful basis is more appropriate. RUSD limits information to relevant purposes, applies appropriate security measures, and shares information with relevant hosting, payment, analytics, communications, security, and other service providers where needed to provide services or where otherwise permitted or required by law.
Individuals may have rights to request access, correction, erasure, restriction, portability, or to object, depending on the lawful basis and applicable law. Contact support@rusd.uk to make a request. Individuals may also complain to the Information Commissioner's Office (ICO) at https://ico.org.uk/make-a-complaint/. RUSD will explain the relevant retention period or criteria for the particular data category on request. Records are retained only for the period needed for the stated purpose, to meet legal and accounting duties, resolve disputes, enforce agreements, and maintain security; deletion may be delayed where a lawful retention obligation or legal hold applies. Where personal data is transferred outside the UK, RUSD will identify the relevant destination and rely on an applicable UK transfer mechanism and safeguards where required. Contact support@rusd.uk for further details about relevant recipients, international transfers, or retention. This section is a summary and should be read with any more specific privacy information provided at the point of collection.
20. Marketing & PECR
RUSD may use business contact details to respond to enquiries and, where lawful, send relevant information about its services. Direct marketing by email, text, telephone or other channels is subject to applicable privacy and electronic communications laws, including PECR and the UK GDPR where personal data is involved.
Recipients can object to direct marketing or unsubscribe using the method provided in the message, or contact support@rusd.uk. RUSD will maintain suppression records where needed to respect opt-out requests. Public availability of contact details does not by itself remove applicable marketing obligations.
21. Cookie Policy
RUSD uses cookies and similar technologies where needed for website functionality, security, preferences, analytics, or marketing, depending on the tools enabled on the site. CookieYes's scan completed on 11 October 2026 detected 19 cookies across 22 pages: 3 Necessary, 6 Analytics, 9 Advertisement and 1 Performance cookie. The scan also detected 8 scripts. These totals may change as website technologies change; the individual cookie names, providers, purposes and durations should be checked against the latest scan.
Non-essential cookies or similar technologies will be used only where the required consent has been obtained. Visitors should be able to make a genuine choice, change or withdraw their preferences, and find clear information about the purposes of the technologies used. Strictly necessary technologies may be used where permitted by law.
Use the cookie settings control on this website to review, change or withdraw your cookie preferences. RUSD LTD reviews this policy against the technologies deployed on the website and updates it when material changes occur. The scan figures are a point-in-time snapshot and may change when the site, plugins, integrations or third-party services change. The live cookie declaration and consent controls should be checked for the current list. RUSD will review the scan when material website changes occur and will correct this policy if the published information becomes inaccurate.
22. Data Processing
Where RUSD processes personal data on behalf of a Customer as a processor, the Customer is responsible for determining the purposes and lawful basis of its processing and for providing required notices to data subjects. RUSD will process such data only on documented instructions, subject to applicable law and the agreed service.
Depending on the service, RUSD will use appropriate technical and organisational measures, restrict access to authorised personnel, assist with reasonable data-subject or security requests where agreed and practicable, and use sub-processors such as hosting or infrastructure providers where necessary to deliver the service.
Before processing personal data on a Customer's behalf where UK GDPR Article 28 applies, the parties must put in place a written data processing agreement. It will describe the subject matter, duration, nature and purpose of processing, the types of personal data and categories of data subjects, and will set out the Customer's documented instructions, confidentiality obligations, security measures, rules for subprocessors and international transfers, assistance with data-subject rights and compliance duties, breach and impact-assessment assistance, audit information, and return or deletion of personal data at the end of the service, subject to legal retention requirements. RUSD will not treat this general policy as a substitute for that agreement. Customers must not provide personal data to RUSD unless they are authorised to do so and have provided any required information or permissions.
23. Complaints Procedure
Customers should first contact support@rusd.uk with the relevant order or invoice reference, a clear description of the issue, and the outcome they are seeking. RUSD will acknowledge and review complaints within a reasonable time and may request further information.
RUSD will investigate fairly, communicate its findings, and where appropriate propose a correction or other reasonable resolution. This procedure does not restrict any legal rights or remedies available to a Customer.
24. Changes to Policies & Services
RUSD may update these policies to reflect legal, operational, security, or service changes. The current version and its last-updated date will be published on this page. Material changes to an existing contract will be handled in accordance with that contract and applicable law; a website update alone does not retrospectively vary an agreed contract where consent is required.
Service features, third-party platforms and technical specifications may change. Where a change materially affects an active paid service, RUSD will provide notice where required by the contract or applicable law.
25. General Legal Provisions
These policies are governed by the laws of England and Wales, subject to any mandatory legal protections that apply. The courts of England and Wales will have jurisdiction where permitted by law.
If any provision is found unenforceable, the remaining provisions will continue to apply to the extent lawful. A failure or delay in exercising a right does not waive that right. Neither party is responsible for delay caused by events beyond its reasonable control, provided it takes reasonable steps to reduce the effects.
Nothing in these policies creates a partnership, employment relationship, or agency between the parties unless expressly agreed in writing. Mandatory statutory rights and liabilities that cannot lawfully be excluded remain unaffected.
